Important: These Terms are drafted for Vextro's current merchant-only product model and should still be reviewed by South African legal counsel before publication.

1. Introduction

These Terms and Conditions govern access to and use of Vextro, including the Vextro mobile application, hosted payment pages, hosted quote approval pages, website pages, and related support or backend services (collectively, the "Services"). By using the Services, you agree to these Terms.

2. Who We Are

Vextro is operated by SYNERGY6 PTY LTD, a South African private company, from 17 Joyhurst Street, Chatsworth, Durban 4091.

3. Merchant-Only Platform

Vextro is intended for merchants, service providers, tradespeople, professionals, and other businesses. It is not marketed as a consumer banking, escrow, wallet, or money-holding product.

Vextro provides software tools that allow merchants to create quotes and invoices, capture proof of work, share documents, generate hosted payment or quote links, and manage related workflows.

Vextro may let you capture signatures, images, timestamps, locations, and customer comments. These records are operational tools and are not guaranteed to be legally conclusive evidence in every dispute, court matter, insurance claim, or complaint process.

11. Privacy and POPIA

Your use of Vextro must comply with applicable privacy laws, including the Protection of Personal Information Act 4 of 2013 ("POPIA"). If you collect or process customer information through Vextro, you are responsible for doing so lawfully and for providing any customer notices or permissions required by law.

12. Marketing Communications

By creating and using a Vextro account, you agree that we may send you service-related communications about your account, billing, subscriptions, security, and product operation. We may also send product updates and marketing communications where permitted by law. If South African law requires an opt-out or unsubscribe mechanism for certain marketing messages, that mechanism will apply.

All rights in the Vextro software, branding, hosted page layouts, designs, and related materials belong to SYNERGY6 PTY LTD or its licensors. You retain ownership of your own business content, subject to a limited licence allowing us to process and display it as needed to operate the Services.

15. Availability and Changes

We may update, improve, limit, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted availability, error-free operation, permanent support for every feature, or ongoing compatibility with every device, store, browser, or gateway.

16. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available". We do not warrant that the Services will always be uninterrupted, secure, complete, accurate, or fit for your particular business, legal, tax, or regulatory requirements.

17. Limitation of Liability

To the fullest extent permitted by law, SYNERGY6 PTY LTD will not be liable for indirect, incidental, consequential, special, or punitive loss or damage, including loss of profits, data, revenue, goodwill, customers, or payment opportunity, arising from or related to the Services, third-party gateway failures, device loss, failed backups, invoice mistakes, customer disputes, or your own business conduct.

18. Indemnity

You agree to indemnify and hold harmless SYNERGY6 PTY LTD against claims, losses, damages, liabilities, and costs arising out of your use of the Services, your customer transactions, your content, or your breach of these Terms or applicable law.

19. Suspension and Termination

We may suspend or terminate access if we reasonably suspect fraud, unlawful conduct, abuse, material breach, or security risk, or if we are required to do so by law, regulators, app stores, gateways, or service providers.

20. Governing Law

These Terms are governed by the laws of the Republic of South Africa, subject to any mandatory rights that cannot lawfully be excluded.
