Vextro Terms and Conditions
1. Introduction
These Terms and Conditions govern access to and use of Vextro, including the Vextro mobile application, hosted payment pages, hosted quote approval pages, website pages, and related support or backend services (collectively, the "Services"). By using the Services, you agree to these Terms.
2. Who We Are
Vextro is operated by SYNERGY6 PTY LTD, a South African private company, from 17 Joyhurst Street, Chatsworth, Durban 4091.
3. Merchant-Only Platform
Vextro is intended for merchants, service providers, tradespeople, professionals, and other businesses. It is not marketed as a consumer banking, escrow, wallet, or money-holding product.
4. Eligibility and Accounts
- You must be legally capable of entering into a binding agreement.
- If you use Vextro on behalf of a business, you confirm that you are authorised to bind that business.
- You must provide accurate account information and keep it updated.
- You are responsible for all activity under your account and for keeping your login credentials secure.
5. What Vextro Does
Vextro provides software tools that allow merchants to create quotes and invoices, capture proof of work, share documents, generate hosted payment or quote links, and manage related workflows.
6. Subscriptions, Billing, Cancellation and Refunds
- New users may receive a 7-day free trial automatically when eligible.
- After the trial ends, continued access to paid app features may require an active subscription.
- Where subscriptions are purchased through Apple App Store or Google Play, billing is handled by the relevant store.
- Subscriptions may auto-renew unless cancelled through the applicable billing channel.
- Cancellation is allowed at any time.
- No refunds are offered for subscription fees, partially used billing periods, or unused time, except where refund rights cannot lawfully be excluded under applicable law or where a platform is required by its own policy to process a refund.
7. Payment Gateways and Merchant Funds
- Vextro is not a bank, payment service provider, or merchant of record for your sales to customers.
- Online payments are routed through third-party gateways such as Paystack using the merchant's own gateway account. Other gateways may be added or enabled later.
- Funds are intended to settle into the merchant's own account, subject to the gateway's terms, verification requirements, reserves, disputes, and settlement rules.
- Vextro does not guarantee payment success, settlement timing, payout, or reversal outcomes.
8. Merchant Responsibilities
- You are responsible for the legality, accuracy, completeness, and fairness of your quotes, invoices, reminders, and customer communications.
- You are responsible for your pricing, tax treatment, VAT treatment, customer obligations, and compliance with South African law.
- You are responsible for obtaining any licences, registrations, professional approvals, insurance, and authorisations your business requires.
- You are responsible for refunds, disputes, complaints, cancellations, and service delivery issues between you and your customers.
9. Proof of Work and Customer Documents
Vextro may let you capture signatures, images, timestamps, locations, and customer comments. These records are operational tools and are not guaranteed to be legally conclusive evidence in every dispute, court matter, insurance claim, or complaint process.
10. Data Storage and Backups
- Vextro is designed as a local-first product for core merchant records.
- Merchant operational records such as invoices, customers, and proof attachments are primarily stored on the merchant's device.
- Vextro may still process limited server-side operational data needed for authentication, subscriptions, gateway setup, payment-link tokens, hosted pages, and webhook handling.
- You remain responsible for your own recordkeeping, exports, device security, and backups.
11. Privacy and POPIA
Your use of Vextro must comply with applicable privacy laws, including the Protection of Personal Information Act 4 of 2013 ("POPIA"). If you collect or process customer information through Vextro, you are responsible for doing so lawfully and for providing any customer notices or permissions required by law.
12. Marketing Communications
By creating and using a Vextro account, you agree that we may send you service-related communications about your account, billing, subscriptions, security, and product operation. We may also send product updates and marketing communications where permitted by law. If South African law requires an opt-out or unsubscribe mechanism for certain marketing messages, that mechanism will apply.
13. Prohibited Use
- You may not use Vextro for unlawful, fraudulent, deceptive, abusive, or infringing purposes.
- You may not upload forged or misleading invoices, false proof records, malicious code, or content that impersonates another business or person.
- You may not reverse engineer, scrape, interfere with, or disrupt the Services except where such restriction is not permitted by law.
14. Intellectual Property
All rights in the Vextro software, branding, hosted page layouts, designs, and related materials belong to SYNERGY6 PTY LTD or its licensors. You retain ownership of your own business content, subject to a limited licence allowing us to process and display it as needed to operate the Services.
15. Availability and Changes
We may update, improve, limit, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted availability, error-free operation, permanent support for every feature, or ongoing compatibility with every device, store, browser, or gateway.
16. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available". We do not warrant that the Services will always be uninterrupted, secure, complete, accurate, or fit for your particular business, legal, tax, or regulatory requirements.
17. Limitation of Liability
To the fullest extent permitted by law, SYNERGY6 PTY LTD will not be liable for indirect, incidental, consequential, special, or punitive loss or damage, including loss of profits, data, revenue, goodwill, customers, or payment opportunity, arising from or related to the Services, third-party gateway failures, device loss, failed backups, invoice mistakes, customer disputes, or your own business conduct.
18. Indemnity
You agree to indemnify and hold harmless SYNERGY6 PTY LTD against claims, losses, damages, liabilities, and costs arising out of your use of the Services, your customer transactions, your content, or your breach of these Terms or applicable law.
19. Suspension and Termination
We may suspend or terminate access if we reasonably suspect fraud, unlawful conduct, abuse, material breach, or security risk, or if we are required to do so by law, regulators, app stores, gateways, or service providers.
20. Governing Law
These Terms are governed by the laws of the Republic of South Africa, subject to any mandatory rights that cannot lawfully be excluded.
